1. Who these terms are with

1.1troveGEN is operated by Intellara Technologies Private Limited ("Intellara", "we", "us"), a company incorporated in India (CIN U62099KA2026PTC218890; GSTIN 29AAICI8079A1ZB) with its registered office at Om Chambers, Binnamangala, Stage 1, Indiranagar, Bengaluru, Karnataka 560038, India.

1.2"You" means the person or organisation that creates the workspace or subscribes. If you accept these terms for an organisation, you confirm you are authorised to bind it, and "you" includes that organisation.

1.3By creating an account, ticking the agreement at checkout, or using the service, you accept these terms, our Privacy Policy and (where it applies) our Data Processing Addendum ("DPA"). If you do not accept them, do not use the service.

1.4Eligibility and business use. You must be at least 18 years old and able to form a binding contract. troveGEN is offered for business, professional and organisational use, not for personal, family or household use. You confirm you are subscribing for such purposes.

2. The service

2.1troveGEN is a document ingestion, search and answer service, provided as an API and a web console. What each plan includes (for example pages processed, searches, storage, projects, connectors and features) is shown on the pricing page and in the plans page of the console.

2.2Changes to the service. We may improve, change or retire features. If we remove a feature a paid plan relied on, we will tell you in advance and, where we cannot offer something equivalent, handle it under section 5.8.

2.3Free Trial. Every workspace starts on a one-time trial budget. It does not renew or refill and is provided "as is" to evaluate the service. We may limit or end trials that are abused (for example by creating multiple workspaces to extend a trial).

2.4Third-party services. The service may use or connect to third-party models, infrastructure and connectors. Where you connect a third-party account, you are responsible for complying with that provider's terms. Our subprocessors are listed in our Privacy Policy or DPA.

3. Your account

3.1Give accurate registration and billing details and keep them up to date. They appear on your invoices.

3.2Keep your password, two-step codes and API keys secret. You are responsible for all activity under your workspace, including by people you invite. Tell us promptly at [email protected] if you suspect misuse.

3.3Only an owner or admin of a workspace can subscribe, change or cancel its plan.

4. Your content, our AI features and acceptable use

4.1Your content. You keep all rights in the documents and data you put into troveGEN, and in the queries you submit and the outputs generated for you ("Customer Content"). You give us a limited licence to host, process and transmit Customer Content only to provide, secure and support the service to you, as described in the Privacy Policy and DPA. You are responsible for having the right to upload it and for what it contains.

4.2No training on your content. We do not use Customer Content to train or improve generally available AI models, and we do not permit our model providers to do so, unless you give us separate written permission.

4.3Outputs. Answers are generated by software from your documents and may be inaccurate, incomplete or similar to answers given to other users. As between you and us, you own the outputs to the extent permitted by law, and you are responsible for how you use them (see section 8).

4.4Personal data. Where Customer Content contains personal data, we process it as your processor (or equivalent under applicable law) under the DPA. You are responsible for having a lawful basis, and any notices and consents required, to upload that data. Do not upload special categories of data, payment card data or regulated health data unless the DPA or a written agreement with us allows it.

4.5Acceptable use. You agree not to:

  • break the law, or upload content you have no right to use, or content that is unlawful, infringing, defamatory or malicious;
  • attempt to access another workspace's data, probe, scan or disrupt the service, or bypass its limits or access controls;
  • use the service to build a competing product by systematic extraction, to train a competing model, or to resell access without our written agreement;
  • use automated means beyond your plan's documented limits or rate limits;
  • use the service in breach of applicable export-control, sanctions or anti-corruption laws (see section 13.2);
  • use the service for any use that is prohibited by applicable law relating to AI systems.

4.6Suspension. We may suspend access that breaks these rules or endangers the service or other customers, and will tell you why and how to fix it where we reasonably can.

5. Payment terms

5.1 Prices and currency

(a) Prices are published in US dollars (USD) and are exclusive of tax. The amount you pay is the price for the plan and billing cycle you choose (monthly or yearly), plus any tax that applies, shown at checkout before you pay.

(b) Customers whose billing country is India are billed in Indian rupees (INR). The USD price is converted once, on the day you subscribe, using that day's exchange rate (a USD/INR rate derived from the European Central Bank reference rates, or, if unavailable, a comparable published reference rate). The rate and converted amount are shown at checkout and printed on the invoice.

(c) All other customers are billed in USD. Your bank, card issuer or payment method provider may apply its own charges or currency-conversion fees; those are not ours.

(d) We may change our published prices for new purchases at any time. Changes to a running subscription are governed by section 5.4(d).

5.2 Tax

(a) India. For customers whose billing country is India, we add Goods and Services Tax (GST) at the applicable rate (currently 18%), shown as CGST and SGST or as IGST depending on the place of supply, which is determined from your billing state and, if you provide one, your GSTIN.

(b) Customers outside India. Where the supply qualifies as an export of services under Indian law, no Indian GST is charged. We charge VAT, GST, sales tax or similar taxes in another country only where we are registered, or required by law, to collect them, and we show them at checkout. Where we are not registered, no tax is added and you are responsible for any tax you owe locally, including VAT or GST you must self-assess under a reverse-charge or similar mechanism.

(c) Tax ID. Provide a correct tax ID (GSTIN, VAT number or equivalent) where you have one. We rely on the details and the country you give us. If you give incorrect details, you are responsible for resulting tax, interest and penalties, and we may correct the invoice as the law permits.

(d) Withholding. All amounts are payable without set-off or deduction. If the law of your country requires you to withhold tax from a payment, you must (i) tell us before payment, (ii) pay the withheld amount to the authority on time, (iii) give us an official receipt or certificate within 30 days so we can claim credit, and (iv) unless we agree otherwise, increase the payment so that we receive the full invoiced amount.

(e) Changes in law. If tax rates or rules change, the new rules apply to purchases made after the change. A running subscription keeps being charged the same total you were first quoted, tax included, until it ends or you replace it.

(f) Our taxes. We are responsible for taxes on our own income.

5.3 Billing details are required

To subscribe you must give your full name or company name, billing email, country, state or region, address, city and postal code. We use them to decide the currency and the tax and to issue a valid invoice, and we save them to your billing profile. The country you declare is the country we bill by; do not give a country other than where you are established or resident for tax purposes. We may ask for evidence of your location (for example for tax or sanctions compliance) and may refuse or cancel a subscription if we cannot verify it.

5.4 Automatic renewal

(a) Paid plans are subscriptions. When you subscribe you authorise us, through our payment processor, to charge the payment method you provide now, and again at the end of every billing period (every month or every year) for the same amount, until you cancel.

(b) Fixed amount. The exchange rate and the tax that applied when you subscribed are fixed for that subscription, so every renewal is charged at exactly the same total you were first quoted, including tax and any currency conversion (section 5.2(e)).

(c) Reminders and pre-debit notices. For yearly plans, we will email the account owner before renewal, at least 7 days ahead, with the amount and how to cancel. Where the rules of your card network or bank require a pre-debit notification (for example for recurring payments by Indian cards and UPI), the processor or issuer will send it, and you may be asked to approve the standing instruction. You can withdraw or manage it with your bank or issuer, but doing so does not cancel your subscription with us; to cancel, follow section 5.6.

(d) Price changes. If we change the price of a running subscription, we will tell you at least 30 days before it takes effect, and you may cancel before then. If you do not cancel, the new price applies from the next renewal after that notice period. Other price changes apply to new purchases.

(e) Some jurisdictions have specific automatic-renewal and consumer-notice rules. If a mandatory rule gives you a greater right than this section, that right applies.

5.5 Payments, invoices and security

(a) Payments are processed by Razorpay (and any other processor we name at checkout). We never receive or store your full card number; we keep only what the processor reports for display and reconciliation (method, card network and last four digits, bank or UPI address).

(b) We issue an invoice for every successful payment, including each renewal, which you can download from Settings → Billing. Invoices are issued in the name, address and tax ID in your billing profile at the time of payment. We cannot change an invoice afterwards; where the law allows a correction, we will issue a credit note and a new invoice.

(c) Fees are due in advance for each billing period and are non-refundable except as set out in section 5.7 and as required by law.

5.6 Cancellation

You can cancel at any time in Settings → Billing. Cancelling stops future renewals and takes effect at the end of the period you have already paid for: you keep full access until then, and you are not charged again. After that the workspace moves to the Free Trial limits. Your data is not deleted by cancelling, but content above the Free Trial limits may become unavailable for use until you subscribe again, and you can delete your content at any time (see section 10.4 for what happens to your data after termination).

5.7 Refunds

(a) We review refund requests case by case and will refund where the law requires, where we charged you in error or more than once, or where we have removed a feature you relied on and cannot offer an equivalent.

(b) To ask, write to [email protected] with your workspace and the payment concerned, within 30 days of the charge where possible. We aim to respond within 10 business days.

(c) An approved refund goes back to the original payment method in the original currency and is recorded on a credit note that adjusts the invoice; the invoice itself is never edited. Refunds of tax follow the credit note. Banks may take several days to show it.

(d) A refund does not by itself cancel your subscription.

(e) Nothing in this section limits any non-excludable right you have under applicable law.

5.8 Changing plan

You can move to a different plan or billing cycle at any time from the plans page. The new plan starts when its payment succeeds, for the full price shown at checkout, and the previous subscription is cancelled so you are not charged for both. We do not currently give a prorated credit for the unused part of the earlier period.

5.9 Plan limits

Each plan has stated limits (for example pages processed, searches, storage and projects). When a limit is reached, further use of that resource is refused until the next period or until you move to a larger plan; we do not currently bill overage automatically. Hosted-model usage is part of the plan's allowance and is described on the pricing page.

5.10 Failed or late payments

(a) If a renewal payment fails, we or the processor may retry it and we will notify you. While a renewal is unpaid we may limit your workspace to the Free Trial limits; your data is kept, and full access returns when payment succeeds.

(b) A subscription whose payments keep failing is ended by the processor, after which you can subscribe again.

(c) Amounts you owe by agreement (for example under section 5.13) that are overdue may carry interest at the lower of 1% per month and the maximum the law allows, and you will reimburse reasonable collection costs.

5.11 Disputed charges and chargebacks

If you think a charge is wrong, write to us at [email protected] before raising a dispute with your bank, so we can fix it quickly. We may suspend access while a chargeback is open and may dispute chargebacks we consider unjustified.

5.12 Sanctions and restricted regions

We may decline to sell, or may suspend or cancel a subscription, where required by sanctions or export-control law, or where we cannot lawfully take payment from your location.

5.13 Enterprise and self-hosted

The Sovereign (self-hosted) deployment, and any plan quoted individually, is priced and licensed under a separate written agreement, which prevails over this section where they differ.

6. Availability and support

We work to keep the service available but do not promise uninterrupted operation, and the standard plans carry no uptime commitment. We may carry out maintenance, with notice where practicable. A service level may be agreed in writing for enterprise customers. Support is by email at [email protected].

7. Intellectual property, confidentiality and feedback

7.1We own the troveGEN software, models we train, documentation and trademarks. During your subscription you receive a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business purposes. You may not copy, modify, reverse engineer or create derivative works from the service except as the law allows despite this limit.

7.2You own your Customer Content (section 4.1).

7.3Confidentiality. Each party will protect the other's non-public information that is marked or reasonably understood as confidential, use it only to perform these terms, and disclose it only to personnel and advisers who need to know it and are bound by similar duties, or where the law requires (with notice where lawful). This does not apply to information that is public, already known, independently developed, or lawfully received from a third party without restriction.

7.3AFeedback. If you send us suggestions we may use them without obligation to you.

8. Disclaimers

Answers generated by the service are produced by software over your documents and can be wrong or incomplete, even with citations and a groundedness score. They are not professional, legal, medical, tax or financial advice and should be checked before you rely on them. Apart from what these terms and the law require, the service is provided "as is" and "as available" without warranties of any kind, including fitness for a particular purpose, merchantability and non-infringement.

9. Indemnity and limit of liability

9.1Your indemnity. You will defend and compensate us against third-party claims, and resulting losses and reasonable costs, arising from Customer Content, or from your breach of section 4.5 or of applicable law.

9.2Our IP indemnity. We will defend you against third-party claims that the service, as provided by us, infringes that third party's intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement, provided you notify us promptly, let us control the defence and settlement, and cooperate. We may modify the service, obtain a licence, or end the affected feature and refund prepaid fees for it. We have no liability for claims arising from Customer Content, your combination of the service with other items, or use in breach of these terms. This section is your sole remedy for such claims.

9.3Limit of liability. To the extent the law allows, Intellara is not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, and our total liability for all claims arising from the service is limited to the fees you paid us for the service in the twelve months before the event giving rise to the first claim. For the Free Trial, our total liability is limited to INR 10,000 (or the equivalent).

9.4Nothing in these terms limits liability that cannot be limited by law, including for fraud, death or personal injury caused by negligence, or wilful misconduct.

10. Term and ending the agreement

10.1These terms apply from when you accept them until the subscription and any use of the service end.

10.2You may stop using troveGEN at any time and cancel as in section 5.6.

10.3We may end or suspend your access if you materially break these terms and do not fix it within a reasonable time (not less than 15 days) after notice, or immediately where the breach endangers the service or others or the law requires. We may also end the service, in which case we will give reasonable notice and refund prepaid fees for the period you cannot use it.

10.4Your data after termination. You can delete your Customer Content, or the whole workspace, at any time in Settings → Privacy (the workspace owner only). Deleting a workspace removes its projects, documents, connections, API keys and team members at once, cancels any subscription, and cannot be undone. We do not keep your original files, so keep your own copies. We delete or anonymise any remaining Customer Content within 30 days of workspace deletion or of a deletion request, except where we must retain it by law, and except for backups that are overwritten on their normal cycle. We keep invoices, payments and billing records for as long as tax and accounting law requires.

10.5Sections that by their nature should survive do survive: payment obligations for charges already due, content ownership, confidentiality, indemnities, disclaimers, liability, and governing law and disputes.

11. Changes to these terms

We may update these terms. We will post the new version here with its date and, for a material change, tell account owners by email or in the console at least 30 days in advance (or sooner where the law or a security need requires). Continuing to use the service after the change takes effect means you accept it; if you do not, you can cancel before it takes effect. Changes do not affect the price of a running subscription except as stated in section 5.4.

12. Governing law and disputes

12.1Governing law. These terms and any dispute arising from them are governed by the laws of India, without regard to conflict-of-laws rules.

12.2Talk first. Please write to us at [email protected] first. Each side will try in good faith to resolve a dispute within 30 days of written notice.

12.3Customers in India. The courts at Bengaluru, Karnataka have exclusive jurisdiction.

12.4Customers outside India. An unresolved dispute will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996 (India), before a sole arbitrator appointed in line with that Act. The seat and venue are Bengaluru, India, the language is English, and the award is final and binding. Either party may seek urgent interim relief from the courts of Bengaluru, or from any court of competent jurisdiction.

12.5Mandatory rights. Nothing here removes mandatory consumer or data-protection rights that give you the right to go to the courts of your own country or to rely on your local law.

13. General

13.1Entire agreement. These terms, the Privacy Policy, the DPA (if any) and any order form or written agreement with us are the entire agreement on this subject. If they conflict, a signed written agreement prevails, then the DPA (for personal data), then these terms.

13.2Compliance. Each party will comply with the laws that apply to it, including anti-corruption, export-control and sanctions laws. You confirm you and anyone who uses your workspace are not on a sanctions list and are not in a comprehensively sanctioned country or region, and you will not export, re-export or use the service in breach of those laws.

13.3Assignment. You may not assign or transfer these terms without our written consent. We may assign them to an affiliate or a successor to our business on notice to you.

13.4Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.

13.5Notices. We may give notice by email to the billing or owner address on your account, or in the console. You can give notice to us at [email protected]. Notices are effective when sent (email) unless a bounce shows otherwise.

13.6Severability and waiver. If a provision is unenforceable, the rest remains in effect and the provision is applied to the fullest extent allowed. A delay in enforcing a right is not a waiver.

13.7Third parties; relationship. These terms do not create rights for anyone else, nor a partnership, agency or employment relationship. You may not use our name or marks without our consent.

13.8Language. These terms are in English. A translation is for convenience only.
